Shareholder Agreements in Cyprus: Decisions to Settle Early

A shareholder agreement is most valuable before interests diverge, when the owners can still define fair rules with a long view.

Company articles provide a legal framework, but they rarely answer the commercial questions that cause real disputes between founders and investors. A tailored shareholder agreement records how authority, value and risk will be managed.

Define decisions and reserved matters

Day-to-day management should remain workable while major decisions—new finance, acquisitions, disposals, senior appointments or changes to the business—receive the agreed level of owner approval.

Plan funding and dilution

The agreement should explain whether future capital is optional or compulsory, what happens if an owner cannot contribute and how new shares may be issued. Ambiguity at a funding deadline can quickly shift bargaining power.

Protect information and opportunity

Confidentiality, intellectual property, conflicts and the use of business opportunities should be addressed in terms that reflect the owners’ actual roles. Restrictions must be proportionate and capable of enforcement.

Design a workable exit

Transfer controls, pre-emption rights, valuation, permitted transfers, drag and tag rights and events of default should form one coherent exit mechanism. The objective is not to predict every disagreement, but to prevent paralysis when circumstances change.
